These Supplier Terms of Service ("Terms") govern your access to and use of the PAIDD early payment discount platform ("Platform") as a supplier. By accepting these Terms or using the Platform, you ("Supplier", "you") agree to be bound by these Terms with Workfree Limited (trading as PAIDD) ("PAIDD", "we", "us").
PAIDD provides a free platform that enables you to request early payment on approved invoices from your customers ("Buyers") in exchange for a discount. The Buyer sets the discount rate structure, and you choose which invoices to accelerate and how many days early you want payment. The service is:
When your Buyer adds you to the Platform, you receive automated email notifications about your invoice status. You can view all your invoices with that Buyer through the supplier portal.
For approved invoices, you may request early payment by:
Discounts are calculated based on the Buyer's discount rate structure (typically per 30 days) and the number of days of acceleration you request. Example: If Buyer offers 3% per 30 days and you request payment 20 days early, discount is (20÷30) × 3% = 2% (equivalent to the traditional "2/10 Net 30" terms).
When you accept an early payment discount, the Buyer will issue a credit note on your behalf reflecting the discount amount. This credit note adjusts the original invoice value and serves as the accounting record for both parties. You authorise the Buyer to generate these credit notes through the Platform as part of the early payment process. You are responsible for recording the credit note in your own accounting systems.
Early payment discounts are applied as a reduction to the invoice value before VAT. VAT is calculated on the net amount after the discount has been applied. For example, if the original invoice is €1,916.67 excl. VAT and the discount is €42.17, VAT is calculated on the net amount of €1,874.50. You are responsible for the correct tax treatment in your own jurisdiction and should consult your own tax advisor if needed.
Once you request early payment and the Buyer accepts, the Buyer commits to pay you by the accelerated date. If the Buyer fails to pay by the accelerated date, you should contact the Buyer directly in the first instance. If the matter cannot be resolved, you may escalate to PAIDD at hello@paidd.io (see Section 10).

Your participation in early payment is entirely voluntary. You may:
5.2 Using the Platform does not change your underlying commercial relationship with the Buyer or the terms of your supply agreement.
6.1 PAIDD processes your data (name, contact details, invoice information) to provide the Platform services. We comply with UK GDPR and Data Protection Act 2018. Our full Privacy Policy is available at www.paidd.io/privacy.
6.2 We implement enterprise-grade security including encryption (TLS 1.3, AES-256), secure cloud infrastructure, and regular security monitoring.
6.3 PAIDD may use supplier data in anonymized, aggregated form for AI training, service improvement, and benchmarking to provide better features and insights.
6.4 You have rights under UK GDPR including access, correction, deletion, and data portability. Contact hello@paidd.io to exercise these rights.
6.5 Data Retention: Active data retained while you use the Platform; 90 days read-only post-termination; financial records retained for 7 years as required by UK law.
6.6 Sub-processors: Cloud hosting (AWS EU), payment processing (Stripe), email communications. All sub-processors are GDPR-compliant.
PAIDD sends invoice status notifications via email by default. With your consent, PAIDD may also send notifications via SMS or messaging services (e.g., WhatsApp). You may opt out of non-essential notifications at any time through your account settings or by contacting hello@paidd.io. Essential service notifications (such as payment confirmations and security alerts) cannot be opted out of.
PAIDD retains all intellectual property rights in the Platform. You retain ownership of your data and grant PAIDD a license to use it solely for providing Platform services.
You agree to keep confidential any information you access through the Platform about Buyers or other suppliers, and use such information only for managing your invoices and payment requests. You may disclose confidential information where required by law.
9.1 The Platform is provided "as-is" without warranties of any kind. We do not guarantee:
9.2 To the maximum extent permitted by law, PAIDD's total liability to you is limited to £1,000.

9.4 Nothing in these Terms excludes our liability for death or personal injury caused by negligence, fraud, or matters that cannot be legally excluded.
10.1 If a Buyer accepts your early payment request but fails to pay by the accelerated date:
10.2 If you believe a discount has been incorrectly calculated, you should contact the Buyer directly to resolve the issue. If the matter cannot be resolved between you and the Buyer, either party may escalate to PAIDD at hello@paidd.io. PAIDD will review the Platform data to confirm the discount calculation and provide this information to both parties.
10.3 While we monitor Buyer payment commitments, we are not responsible for Buyer defaults. Your recourse is against the Buyer under your supply agreement.
Neither party is liable for delays or failure to perform due to circumstances beyond reasonable control (natural disasters, government actions, cyber attacks, infrastructure failures). The affected party must notify the other promptly. Either party may terminate if Force Majeure exceeds 28 days.
12.1 These Terms continue until terminated by either party.
12.2 You may stop using the Platform at any time by ceasing to log in. You may request account deletion at hello@paidd.io.
12.3 We may suspend or terminate your access if you: Breach these Terms, Engage in fraudulent activity, or Abuse the Platform.
12.4 Upon termination:
13.1 Changes to Terms: We may update these Terms with 30 days' notice via email or Platform notification. Continued use after changes constitutes acceptance. Material changes require affirmative consent.
13.2 Governing Law and Disputes: These Terms are governed by English law. Disputes will be addressed through 30-day good faith negotiations, then mediation (CEDR), before litigation in the courts of England and Wales (London venue).
13.3 No Assignment: You may not transfer these Terms without our prior written consent.
13.4 Entire Agreement: These Terms constitute the entire agreement between you and PAIDD regarding the Platform.
13.5 Severability: If any provision is invalid, the remaining provisions continue in effect.
